1. Who we are
Agentic Product Factory ("we", "us", "our") provides an AI-powered development workspace and knowledge graph platform. The Service is operated by our applicable group entity. For EU/EEA users, the primary establishment is in the European Union; for US users, the primary establishment is in the United States. Contact: legal@agenticflow.cloud.
2. Account and eligibility
- You must be at least 18 and legally capable of entering into contracts.
- Accounts and authentication are provided through Clerk; you are responsible for keeping credentials secure and for activity under your account.
- You must provide accurate information and keep it updated. We may refuse or terminate accounts that violate these Terms or applicable law.
3. Service description
The Service provides multi-tenant AI agent orchestration, context management, and related tools. Features may change, and previews/beta features may be unstable. You are responsible for backing up your Customer Content.
4. Customer Content and licenses
- "Customer Content" means code, data, instructions, prompts, documents, and other materials you submit to or generate within the Service.
- You retain ownership of Customer Content. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content as needed to provide, secure, and improve the Service.
- You must ensure you have all rights necessary to provide Customer Content and that it does not infringe others' rights or violate law.
5. Third-party services and infrastructure
The Service relies on trusted subprocessors and infrastructure:
- Managed PostgreSQL provider for data storage services.
- Google Cloud (EU regions) for application hosting and compute.
- Clerk for authentication and user management.
- PostHog (EU hosting) for product analytics and event tracking.
You authorize use of these providers to deliver the Service. We may update subprocessors with notice where required. Each subprocessor is bound by confidentiality and data protection terms.
6. Acceptable use
- No illegal, harmful, or rights-infringing activities.
- No attempts to disrupt, probe, or circumvent security or access controls.
- No uploading malicious code or using the Service to distribute malware.
- No misuse of AI outputs to generate unlawful, discriminatory, or misleading content.
- No reselling, white-labeling, or offering the Service on a stand-alone basis without our consent.
7. Privacy and data protection
Our Privacy Policy describes how we handle personal data, including GDPR and US (including CCPA/CPRA) commitments. By using the Service, you consent to processing as described there. Data transfers outside the EU/EEA rely on appropriate safeguards (e.g., SCCs). You are responsible for providing any required notices to, and obtaining any required consents from, your end users.
8. Security and availability
- We implement technical and organizational measures appropriate to the risk (encryption in transit, access controls, logging).
- Service availability may be affected by maintenance, outages of third-party providers, or force majeure.
- You must promptly notify us of any suspected account compromise or security incident related to the Service.
9. Fees
If the Service is offered on a paid basis, fees will be specified in the ordering flow or agreement. You authorize us to charge applicable amounts and taxes. Unpaid amounts may lead to suspension. Beta features may be free and subject to change or removal.
10. Intellectual property
- We and our licensors own the Service and related IP. No rights are granted except as expressly stated.
- Feedback is optional; if you provide feedback, you grant us a worldwide, irrevocable, royalty-free license to use it without restriction.
11. Confidentiality
Non-public information disclosed by one party to the other in connection with the Service that is marked or reasonably understood as confidential must be protected with reasonable care and used only to exercise rights and perform obligations under these Terms. Confidentiality does not apply to information that is public, independently developed, or lawfully obtained from a third party.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outputs are accurate, that the Service will be uninterrupted or error-free, or that data will be preserved without loss.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenues, data, or business opportunities. Each party's aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts paid or payable by you to us for the Service in the 12 months before the claim or (b) USD 500. Nothing in these Terms limits liability for gross negligence, intentional misconduct, death or personal injury, or other liability that cannot be limited under applicable law.
14. Indemnification
You will defend and indemnify us from and against third-party claims, damages, and expenses (including reasonable attorneys' fees) arising from Customer Content, your use of the Service in violation of these Terms or law, or any dispute between you and your end users.
15. Suspension and termination
- You may stop using the Service at any time.
- We may suspend or terminate access for violations of these Terms, suspected fraud, legal risk, or failure to pay fees. We will provide notice where reasonably possible.
- Upon termination, your license to use the Service ends. We may retain and use data as permitted in the Privacy Policy and applicable law.
16. Changes to the Service or Terms
We may modify the Service and these Terms to reflect improvements, security updates, legal requirements, or changes to third-party providers. Material changes will be communicated (e.g., via in-product notice or email). Continued use after changes become effective constitutes acceptance.
17. Governing law and disputes
- For users located in the United States: these Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Venue and jurisdiction lie in the state or federal courts located in Delaware.
- For users located in the EU/EEA (including Germany): these Terms are governed by German law, and disputes are subject to the courts of Berlin, Germany. Mandatory consumer protections remain unaffected.
- Either party may seek injunctive or equitable relief for actual or threatened misuse of IP or confidential information.
18. Export and sanctions
You must comply with applicable export control and sanctions laws. You may not use the Service if you are located in, under the control of, or a national or resident of any embargoed country or prohibited party list.
